1. Introduction

Welcome to MyVenueSpace. These Terms of Service ("Terms") govern your use of our platform as a host of an event space (“Host”), guest booking an event space from a Host (“Guest”), site visitor, and/or general user. By accessing or using the platform, you agree to these Terms. If you do not agree, do not access or use the platform.

2. General Platform Terms

2.1 Account Creation & Eligibility
Users must be at least 18 years old and provide accurate information to create an account. You must provide accurate, current information when you create an account and not use a name that is offensive or infringes on others’ rights. You will be asked when you sign up with MyVenueSpace to provide contact and identity information, including financial or billing data. We do not run background checks by default. Users are responsible for verifying information. You are responsible for your password and account activity. Do not share your credentials. If you forget your password, follow the password reset steps on the login page.

2.2 User Conduct & Safety Policy
Users agree to use the service responsibly and respectfully. Prohibited behavior includes harassment, discrimination, fraud, impersonation, threats, and posting of offensive or illegal content. The Company reserves the right to remove content or suspend accounts for violations at its sole discretion. Hosts must ensure spaces are safe and accessible. Guests must follow posted rules and conduct themselves appropriately at all times.

2.3 Content Standards and Zero-Tolerance Policy
MyVenueSpace does not tolerate offensive, harmful, or inappropriate content. Users may not post unlawful, upsetting, or misleading material. We reserve the right to suspend or remove any account if the posted content or messages are determined to be offensive or inappropriate.

2.4 Payment Processing Overview
Stripe is a secure and industry-leading payment processing platform that complies with the Payment Card Industry Data Security Standard (PCI DSS). Stripe encrypts and safeguards payment information using TLS (Transport Layer Security) and is certified to PCI Service Provider Level 1, the most stringent level of certification available in the payments industry.

2.5 Insurance Acknowledgment
Users agree to secure and maintain appropriate insurance coverage for their role and use of the platform. This may include but is not limited to: property insurance to protect against damage or loss, general liability insurance to cover accidents or injuries during events, and optional event cancellation insurance to mitigate losses resulting from unforeseen circumstances. Hosts may set insurance requirements for Guests as conditions for a booking.

Guests are required to obtain and maintain appropriate one-day event liability insurance for all bookings made through MyVenueSpace. A valid Certificate of Insurance (COI) naming the Host as an additional insured must be provided directly to the Host no later than five [5] calendar days before the scheduled event, unless otherwise specified by the Host.

MyVenueSpace does not independently review or verify insurance documents and is not responsible for enforcement or compliance with insurance terms between Hosts and Guests.

2.6 Refunds, Chargebacks & Payment Disputes
Hosts select their own cancelation and refund policies. Renters must review refund and cancellation terms before booking. Disputes will be reviewed by MyVenueSpace and resolved at its sole discretion. Transactions may be paused while disputes are reviewed.

2.7 Termination of Account
User-Initiated Account Termination
You may terminate your account at any time by logging into your profile and following the account deletion process, or by contacting us at support@myvenuespace.com. Please note that we may need to verify your identity before processing the request.

Host Termination Requirements
If you are a Host with active or upcoming bookings, you must resolve all pending transactions, cancellations, or guest communications before your account can be closed. In some cases, we may retain relevant financial or booking information to meet tax, legal, or regulatory obligations.

Platform-Initiated Termination
MyVenueSpace may suspend or delete any user account at its discretion for violations of these Terms. Users who are removed will be notified via the email on file.

Data Retention following termination of account
We retain booking and transaction data necessary for sales tax reporting and platform auditing. Because sales tax filings are processed monthly, most financial records are retained for at least 12 months after the transaction date. In some cases, MyVenueSpace may retain limited data for up to 3 years to meet state(s) compliance, audit, or for platform integrity purposes.

Any personally identifiable information will only be retained for minimum time necessary and handled in accordance with our Privacy Policy.

2.8 Host and Renter Liability Disclaimer
MyVenueSpace is a neutral platform that facilitates connections between hosts and renters. We are not a party to transactions and do not guarantee the safety, legality, or quality of listings. Users assume full responsibility and risk for all platform interactions and transactions.

2.9 Local Law Compliance
Users are solely responsible for ensuring their activities comply with local, state, and federal laws, including permits, zoning, taxes, and health codes.

Guests and Hosts are independently responsible for ensuring that all required permits, licenses, and insurance applicable to the event are obtained, submitted, and approved as needed. MyVenueSpace does not verify such compliance and assumes no responsibility for legal, zoning, or regulatory violations.

2.10 Force Majeure and Non-Performance
MyVenueSpace is not liable for any failure or delay in performance resulting from causes beyond the reasonable control of any party, including but not limited to natural disasters (such as wildfires, earthquakes, floods, storms), government restrictions, public health emergencies, acts of war, civil unrest, or other Acts of God (“Force Majeure Events”).

If a Force Majeure Event prevents a Host from delivering the venue as booked, or if the Host becomes unreachable, incapacitated, or deceased, MyVenueSpace will make reasonable efforts to assist with dispute resolution. Any potential refunds will be limited to funds related to the booking still held by MyVenueSpace at the time of the event. MyVenueSpace will not be liable for funds already disbursed to the Host or for losses arising from Host non-performance due to a Force Majeure Event.

Guests and Hosts are strongly encouraged to obtain appropriate insurance coverage to protect against such risks. MyVenueSpace may require proof of such coverage upon request, and reserves the right to suspend or remove users who fail to comply with these requirements.

2.11 AI & Communications Transparency
We may use generative AI to support responses and platform messaging. Communications may be stored and monitored for trust & safety. Your access to and use of the platform represents your consent to our use of such tools. AI outputs are not legal advice.

2.12 Third-Party Services
We integrate with third-party tools such as Stripe and Sharetribe. These services are governed by their own terms and privacy policies. We are not responsible for their service levels or liabilities.

3. Terms for Hosts

3.1 Listing Requirements
Hosts must provide accurate listings with photos, descriptions, and availability. Any hosts found to have intentionally misrepresented or falsified listing details may be subject to account suspension or permanent removal from the platform at our discretion.

3.2 Host Payment and Platform Fee Terms
MyVenueSpace does not charge Hosts to create an account or list their property on the platform. A 15% service fee is applied only when a booking occurs, and it is deducted from both the guest’s deposit and final payment.
For example, on a $3,000 booking, the Host receives $2,550. Payments are processed automatically through Stripe at the time of each transaction.

3.3 Host Content and Responsibilities
Hosts may upload images, descriptions, and other listing-related material (“Content” to the platform. By posting such Content, you affirm that the Content is either owned by you or that you have appropriate rights and licenses to use and share it.

By uploading Content, you grant MyVenueSpace a non-exclusive, worldwide, royalty-free license to use, modify, publicly perform, display, reproduce, and distribute the Content in connection with providing, promoting, and improving the service and platform. You retain all ownership rights to your Content.

You are solely responsible for any Content you post and for all activity conducted under your account. Prohibited Content includes, but is not limited to: unlawful material, defamatory or discriminatory Content, spam, malware, IP violations, impersonation, privacy violations, and false or misleading information.

3.4 Intellectual Property of Others and Copyright Infringement
We respect the intellectual property and copyrights of others. You may be held accountable for damages for misrepresenting infringement claims. We comply with applicable regulations, such as the DMCA and EU Copyright Directive. Rights holders may submit a DMCA-style notice to request removal by contacting support@myvenuespace.com.

3.5 Host Cancellation Policy
Hosts can choose one of several cancellation policies: Guest Friendly, Balanced, Standard 30-Day, or Standard 90-Day. Guest deposits are held by the payment processing service Stripe in escrow until the cancelation timeframe has passed. Cancelations within the approved timeframes will be refunded by Stipe. Refund eligibility is defined by the property's selected cancelation policy. If a Host cancels a booking, all payments (including fees) are refunded to the guest, regardless of the cancellation policy selected by the Host. Hosts shall make their best efforts to avoid Host cancellations. Frequent or repeated cancellation by a Host may result in the Host being suspended from booking new events for a period of 90 days, or removal from the platform.

3.6 Insurance Requirements
Hosts must maintain liability coverage appropriate for the site and types of events the Host is offering. This may include but is not limited to property insurance to protect against damage or loss and general liability insurance to cover accidents or injuries during events. Failure to promptly provide proof of insurance if requested may result in suspension.

3.7 Responsibility for Property Listing
Hosts are responsible for ensuring the space is clean, safe, and available for the Gusts as listed. We encourage Hosts to make arrangements with Guests to view the property in advance of an event to ensure that both parties agree on the accuracy and condition of the property listing.

3.8 Taxes and Reporting Obligations
Hosts are independent users of the MyVenueSpace platform and are not employees, contractors, or agents of MyVenueSpace. As such, Hosts are solely responsible for all applicable non-sales taxes and fees, including but not limited to federal and state income taxes, business taxes, local licensing requirements, and any city or county taxes not related to sales transactions.

MyVenueSpace requires the Host to provide the correct current primary use of the space during the property list process for sales tax collection. MyVenueSpace relies on this information to apply tax rules and is not responsible for verifying property use or zoning. While MyVenueSpace collects and remits applicable sales taxes where required by law, Hosts remain responsible for ensuring compliance with all other tax laws and reporting obligations. MyVenueSpace does not withhold or file non-sales tax payments on behalf of Hosts and maintains an independent relationship with all users.

3.9 Inactive Host Accounts
If a host creates an account but remains inactive—meaning they do not list any properties, make availability updates, or demonstrate meaningful platform activity—for more than 12 consecutive months, MyVenueSpace reserves the right to suspend or remove the host account at its sole discretion.

3.10 Platform Use and Off-Platform Transactions
All inquiries, bookings, and rental transactions that originate through MyVenueSpace must be completed through the platform. This includes any communication, discovery, or relationship initiated as a result of the platform's services. If MyVenueSpace determines that a Host or Guest has completed a property rental transaction off-platform, bypassing the system after making a connection through MyVenueSpace, we reserve the right to suspend or permanently remove the user from the platform.

This policy is in place to ensure fairness, safety, transparency, and the continued support of our peer-to-peer community.

3.11 Reporting a Guest issue
Hosts may report issues related to an event or Guest behavior within seven (7) calendar days of the event’s completion. To report an issue, use the “Report an Issue” button available on the event details page of your booking. Reports submitted after this period may not be eligible for review or action by MyVenueSpace.

3.12 Host Right to Cancel for Non-Compliance
If a Guest fails to provide any documentation required by the Host (including but not limited to a Certificate of Insurance or government-issued permits), the Host may cancel the booking due to non-compliance. The Host must document the reason and notify the Guest prior to cancellation. Any refunds will follow the Host’s selected cancellation policy. Hosts are encouraged to specify these documentation requirements clearly in the listing and communicate any deadlines or consequences upfront.

If a Guest fails to provide required documentation to the Host by the deadline defined in the Host’s listing or communications, and the Host proceeds with the event without cancellation, the Host assumes full responsibility for the decision to continue. MyVenueSpace shall not be liable for any consequences, fines, or damage resulting from such noncompliance.

3.13 Platform Terms Supersede Host Policies
Hosts may set custom property rules and usage requirements, including permits, licensing, and other property rules using the Additional Host Policy section of their detail property listing. These rules and policies must comply with applicable laws and must not conflict with these Terms, Privacy Policy, or other official platform policies. In the event of a conflict, the MyVenueSpace Terms and policies will control.

4. Terms for Guests

4.1 Booking Process & Deposits
At the time of booking, a deposit of 25% or 50% of the property rental price is charged (per the host’s settings). The deposit is held in escrow by the payment processing platform Stripe until the cancelation window has passed. At the time the deposit is processed to the Host. The booking balance is automatically charged 72 hours before the event date. If booked less than 72 hours in advance, full payment is due at booking. Deposits and balances are refundable based on the host’s cancellation policy.

4.2 Guest Fees & Payment Terms
Guests are not charged any fees to create an account or to browse and search for venue or event spaces on the MyVenueSpace platform.

A 7.5% Platform service fee is charged when a booking occurs. This fee is added to the host charges and is applied proportionally to both the deposit and the final payment. Fees are displayed as a separate line item on the Guest receipts. All payments must be made using a valid credit or debit card, which is subject to authorization by the card issuer. MyVenueSpace is not responsible for any delays or issues resulting from failed payment authorization.

4.3 Guest Cancellation Policy
Refunds depend on the Host’s selected cancellation policy. If a Host cancels, Guests receive a full refund, including fees. Guest cancellations are not allowed within 72 hours of the scheduled event, and the full payment for the booking will be processed automatically at that time. This helps ensure a reliable and secure experience for all users.

4.4 Payment Timing and Final Payment Policy
MyVenueSpace processes the final payment 72 hours before the event. This timing ensures that:
-Any potential issues with fraudulent cards, insufficient funds, or declined charges can be identified and resolved before the event occurs.
-Hosts are protected from last-minute cancellations and unrecoverable prep costs.

4.5 Event Conduct
The Guest who booked the event (or their designated representative) must be present during the event and is responsible for managing the event in accordance with Host rules and platform policies. Guests are responsible for any damage caused to the Host’s property and must follow all posted rules and instructions provided by the Host. It is the Guest’s responsibility to ensure that all attendees comply with the Host’s rules and conduct expectations. Guests agree to conduct themselves and their event in a respectful, lawful, and safe manner. If a Guest observes any existing damage upon arrival or during the event, they should promptly notify the Host. If a Guest feels unsafe or at risk at any time during the event, they are encouraged to contact the Host and, if necessary, report concerns to appropriate authorities.

4.6 Insurance Requirements
Guests are required to obtain and maintain appropriate one-day event liability insurance for all bookings made through MyVenueSpace. A valid Certificate of Insurance (COI) naming the Host as an additional insured must be provided directly to the Host no later than [5] calendar days before the scheduled event, unless otherwise specified by the Host.

Failure to provide a valid COI within the specified timeframe may result in cancellation of the event by the Host, with any refunds subject to the Host’s cancellation policy.

4.7 Guest Responsibility to Coordinate and Validate Venue
Guests are responsible for maintaining communication with the Host regarding event logistics, expectations, and any special requirements. We strongly encourage Guests to coordinate with the Host prior to the event date to confirm details and, when possible, to validate that the venue is "as listed" by arranging a visit or requesting additional verification. MyVenueSpace is not liable for mismatches in expectations, including due to lack of communication or verification between Hosts and Guests.

4.8 Listing Accuracy
While MyVenueSpace provides tools to create and manage listings, the platform does not verify the accuracy, legality, or quality of photos or descriptions. Guests are responsible for confirming venue details directly with the host.

4.9 Prohibited Uses
You agree not to use the service for unlawful activities, including but not limited to unlicensed events, underage gatherings, or any purpose prohibited by local regulations. Users are solely responsible for ensuring their activities comply with local, state, and federal laws, including permits, zoning, taxes, and health codes.

Guests and Hosts are independently responsible for ensuring that all required permits, licenses, and insurance applicable to the event are obtained, submitted, and approved as needed. MyVenueSpace does not verify such compliance and assumes no responsibility for legal, zoning, or regulatory violations.

4.10 Sales Tax Collection
MyVenueSpace is legally required to collect applicable sales tax at the time of a transaction, based on the location of the host property and the corresponding local and state tax laws. Tax is calculated and added to the total booking amount in accordance with the host’s jurisdictional filing requirements.

Please note that tax rates and obligations may change over time. MyVenueSpace makes reasonable efforts to stay current with tax laws but cannot guarantee that all tax amounts reflect the most recent changes in every jurisdiction.

4.11 Platform Use and Off-Platform Transactions
All inquiries, bookings, and rental transactions that originate through MyVenueSpace must be completed through the platform. This includes any communication, discovery, or relationship initiated as a result of the platform's services. If MyVenueSpace determines that a Host or Guest has completed a property rental transaction off-platform, bypassing the system after making a connection through MyVenueSpace, we reserve the right to suspend or permanently remove the user from the platform.

This policy is in place to ensure fairness, safety, transparency, and the continued support of our peer-to-peer community.

4.12 Reporting a Host issue
Guests may report issues related to an event, the Host, or the property within seven (7) calendar days of the event’s completion. To report an issue, use the “Report an Issue” button available on the event details page of your booking. Reports submitted after this period may not be eligible for review or action by MyVenueSpace.

4.13 Guest Compliance with Host Policy Page
In addition to complying with these Terms, Guests agree to comply with any specific rules, restrictions, or requirements listed by the Host on the venue’s detail or policy page. This may include—but is not limited to—requirements regarding alcohol, noise levels, guest count, curfews, smoking, setup/tear-down times, and required permits or documentation.

If the Host specifies that permits or documentation (e.g., food permits, alcohol licenses, fire department approvals) are required for the event, the Guest is solely responsible for securing those items and delivering them to the Host for review and approval by the deadline specified in the listing.

Failure to comply with any listed Host requirements, including failure to provide required documentation in time, may result in the Host cancelling the event. In such cases, the refund, if any, will follow the Host’s selected cancellation policy.

5. Host and Guest Communication

Communication between hosts and guests happens directly through the platform. All communication must be legal, respectful, and comply with anti-discrimination laws. Any inappropriate or abusive communication should be reported to MyVenueSpace. We may take appropriate action, including suspension or removal of accounts.

6. Platform Terms

6.1 Role as Intermediary
MyVenueSpace is a neutral third-party marketplace and is not a party to agreements between users. We do not control listings, pricing, availability, or behavior. We reserve the right to change or discontinue platform functionality at any time.

6.2 Communication & Notifications
We notify users about platform events via email or in-app notices.

6.3 Platform Rights
We may suspend or remove content or users that violate our policies.

6.4 Privacy
Your personal information is governed by our Privacy Policy.

6.5 Intellectual Property
MyVenueSpace owns all platform content, software, and branding, unless otherwise specified. You may only use such MyVenueSpace intellectual property as necessary to use the platform in compliance with these Terms. All rights not expressly granted are reserved.

6.6 Host-Guest Intellectual Property Rights
Except for the limited rights needed to complete a booking, (i) Hosts own all rights in their listings, photos, and property descriptions, and Guests may not use, copy, or distribute them outside the booking without the Host’s permission; and (ii) Guests own all rights in any materials they bring or create for their event (such as signage or branding), and Hosts may not use, copy, or distribute them without the Guest’s permission.

6.7 Service Availability / Platform Modifications Disclaimer
We do not guarantee continuous, uninterrupted, or secure access to the platform. Features may change without notice.

6.8 Guest and Host Feedback and Suggestions License
By submitting feedback or suggestions to MyVenueSpace, you grant us a perpetual, irrevocable, royalty-free license to use and incorporate them.

7. Disclaimers and Limitation of Liability

To the extent allowed by law, MyVenueSpace is not liable for indirect, special, or consequential damage arising from your use of the platform, including but not limited to any damage, losses, or injuries that result from the relationship or arrangements between Hosts and Guests. MyVenueSpace is not responsible for any property damage, personal injury, death, or liability that may occur during or as a result of an event hosted through the platform. All interactions, agreements, and transactions between Hosts and Guests are conducted at their own risk. The platform is provided “AS IS” and “AS AVAILABLE.” We do not guarantee uninterrupted service or error-free functionality.

8. Links to Third-Party Sites and Services

Our platform may link to external websites. We are not responsible for their content, services, or privacy practices. Use them at your own risk.

9. Legal

9.1 Governing Law
These Terms are governed by Washington State law.

9.2 Arbitration
You agree to resolve any dispute with MyVenueSpace on an individual basis and waive your right to participate in a class action or class-wide arbitration. Disputes will be resolved by binding arbitration under AAA rules.

9.3 Modification of Terms
We may modify these Terms at any time. Continued use indicates acceptance.

9.5 United States Legal Compliance
You confirm you are not located in an embargoed country or on a restricted party list.

9.6 Indemnification
You agree to indemnify and hold harmless MyVenueSpace, its officers, directors, affiliates, and employees from any claim, liability, loss, or expense (including reasonable legal fees) arising out of or in connection with your use of the platform, your violation of these Terms, or your interaction with other users.

9.7 Survival Clause
Sections relating to limitation of liability, indemnification, dispute resolution, and governing law will survive the termination of these Terms.
